LIMITED WARRANTY Calyx Cultivation Tech. Corp. (“CALYX”) warrants for the Warranty Period, with the limitations below, to the first user that all Products manufactured by CALYX, when properly installed and maintained under normal service, are free from Defect in material and workmanship. The Products covered by this warranty are products manufactured by CALYX. The Warranty Period begins on the date of the Product is installed or the date of the Product is purchased, if the installation date is unknown and ends FIVE (5) years thereafter. A Defect in the LED lighting arrays will be deemed to exist in a Product only if either (a) there has been a greater than 50% degradation in light output over the Warranty Period; or (b) one or more of the LED’s have totally failed.
LIMITATION OF WARRANTY CALYX warrants ONLY LED arrays, ballasts, diodes, drivers, lamps and fixtures will be free from defects in materials and workmanship provided that the ballasts, diodes, drivers, lamps and fixtures are installed and operated in accordance with manufacturer's recommendations for five (5) year prorated on an annual basis. For Example, Year 1-No Proration, Year 2-Prorated 20% and the customer agrees pay twenty (20%) percent of the invoiced price of the repaired or replaced fixture., Year 3-Prorated 40% and the customer agrees pay forty (40%) percent of the invoiced price of the repaired or replaced fixture., Year 4-Prorated 60% and the customer agrees pay sixty (60%) percent of the invoiced price of the repaired or replaced fixture. Year 5-Prorated 80% and the customer agrees to pay eighty (80%) percent of the invoiced price of the repaired or replaced fixture. This Warranty does not apply, and Calyx Cultivation Tech. Corp. will not be liable and will not reimburse or pay for the following: 1. Parts or assemblies that have been subjected to abuse, misuse, improper or faulty installation, abnormal service, misapplication, extreme environmental conditions beyond those defined in the product specification, under/over voltage situations, lack of compliance with applicable instructions, negligence, accident, fire, improper repair or maintenance, tampering or abuse nor to parts or assemblies that have incurred extraordinary weather conditions. But without limitation, this Warranty does not apply of the Product or LED array fails by reason of hurricane, tornado, earthquake, water damage, theft, vandalism, riot, explosion, natural disaster, or other external causes unrelated to product performance. Products for which CALYX has yet to receive full payment. Costs for installation and shipping. Products not manufactured by CALYX, this includes sensors and/or additional controls.
- Calyx Cultivation Tech. Corp. will not be responsible for or pay for the re-installation of the repaired or replacement of the fixture that has been deemed defective by Calyx Cultivation Tech. Corp.

This warranty applies only to the original purchase for fixtures used within the US, Canada, or other countries as specified by Calyx Cultivation Tech. Corp. This warranty is non-transferable. LIMITATION OF LIABILITY AND EXCLUSIVE REMEDY CALYX ’S sole liability under this Warranty is limited to the repair or replacement (at CALYX ’S option) of the defective LED arrays, ballasts, diodes, drivers, lamps and fixtures, specifically warranted for five (5) years as stated above under the criteria supplied by their manufacturer. Under no circumstances will CALYX be responsible for any other loss or expense whatsoever, including but not limited to charges or claims for labor, lost business, lost time, lost profits, loss of use or any kind of incidental, consequential or punitive damages, however denominated or described. EXCLUSION OF ALL OTHER WARRANTIES THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE.
PROCEDURE FOR CLAIMS
Calyx Cultivation Tech. Corp. reserves the right to examine all failed LED lighting systems and reserves the right to be the sole judge as to whether any housing, lamp, diodes, drivers and/or ballast is defective and covered under this warranty. If CALYX desires to examine the Product prior to disposition of any claim, CALYX will specify a destination to which the claimed defective Product should be shipped with the customer being responsible for any shipping/freight costs to ship the defective Product to CALYX. In any event, the user will not dispose of the claimed defective Product until the claim has been resolved. Upon receipt of the claimed defective Product, CALYX will undertake such examinations of the Product as it deems necessary or desirable.
IF CALYX concurs that the Product incurred a Defect within the Warranty Period, CALYX will repair or replace the Product and return it, freight prepaid. CALYX may request from the user installation, maintenance and repair records related to the claimed defective Product. If such records do not show that appropriate installation, maintenance or repair occurred, or if there are no such records, the claim may be denied. The burden of showing appropriate installation, maintenance and repair is on the user. If the Product reviewed by CALYX does not meet the requirements of the Warranty, CALYX will so notify the user and the user will be promptly notify CALYX that either (a) CALYX is to repair or replace the Product at the user’s cost, with the return to the user being freight collect; or (b) that CALYX is to dispose of the Product at the user’s cost.
